These Terms of Use (“Terms”) govern your access to and use of the Alora Networks website at aloranetworks.com, including any free tools, reports, content, or information made available through it (collectively, the “Site”). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.
Alora Networks Inc. (“Alora Networks,” “we,” “us,” or “our”) may update these Terms from time to time. Material changes will be reflected in the “Last updated” date in the page header.
1. Eligibility
You must be at least 16 years old and capable of forming a binding contract under applicable law to use the Site. By using the Site you represent that you meet this requirement.
If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. What the Site Provides
The Site is a marketing website for Alora Networks. It includes:
- Informational content about our security and intelligent operations services.
- Free tools including the SEO audit and the threat assessment request flow. Free tool outputs (PDF reports, summaries, recommendations) are provided for informational purposes only.
- Contact forms that allow you to submit inquiries to us.
- Booking and follow-up links that may direct you to third-party scheduling or communication services.
The Site does not itself deliver paid consulting, security, or operations services. Paid services are governed by a separate written agreement (typically a Master Services Agreement and Statement of Work).
3. Acceptable Use
Your use of the Site is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy sets out specific authorisation requirements for the free tools (including the requirement that you have authorisation to scan any domain you submit) and the activities that are prohibited on the Site.
Violation of the Acceptable Use Policy is a violation of these Terms.
4. Free Tools: Disclaimers
The SEO audit, threat assessment, and any other free tool or downloadable report provided through the Site are made available on an “as is” and “as available” basis, for general informational purposes only.
You acknowledge and agree that:
- Free tool outputs are not professional advice. They do not constitute a security assessment, audit opinion, legal advice, accounting advice, or any other regulated service.
- Free tool outputs are produced in part by automated systems and third-party data sources (see our Privacy Policy). The accuracy, completeness, and timeliness of those outputs is not guaranteed.
- You should not rely on free tool outputs as a substitute for a paid engagement, internal review, or independent professional advice.
- We may modify, suspend, or discontinue any free tool at any time without notice.
If you require an assessment, opinion, or recommendation you can rely on, engage us under a written services agreement.
5. Submissions and Inputs
When you submit information through the Site, including form fields, requested domains, email addresses, and messages (collectively, “Submissions”), you grant us a non-exclusive, royalty-free, worldwide licence to use the Submission for the purpose of responding to your request, producing the requested output (such as an SEO audit or threat assessment report), and operating and improving the Site and our services.
You are responsible for the accuracy and lawfulness of your Submissions. You represent and warrant that you have the right to provide each Submission and that the Submission does not infringe any third-party rights or violate any applicable law.
You agree not to submit information that:
- You do not own or have authorisation to share.
- Is confidential to a third party who has not consented to its disclosure.
- Contains personal information about other individuals without a lawful basis.
6. Intellectual Property
The Site, its content, design, code, brand assets, logos, and free tool outputs are owned by Alora Networks Inc. or our licensors and are protected by Canadian and international copyright, trademark, and related laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own personal or internal business purposes. You may not:
- Copy, reproduce, republish, or redistribute Site content beyond fair-dealing exceptions under applicable copyright law.
- Use Site content to train machine-learning models, populate databases, or develop competing services without our written permission.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
- Use Alora Networks trademarks, logos, or brand assets in any way that suggests endorsement of, or affiliation with, your offering without our written permission.
Reasonable internal sharing of free tool reports within your own organisation is permitted.
7. Privacy
Our collection, use, and disclosure of personal information through the Site is governed by our Privacy Policy. By using the Site you acknowledge our Privacy Policy.
8. Third-Party Services and Links
The Site uses third-party service providers (including Web3Forms, Cloudflare, Ahrefs, and Google Workspace) to deliver functionality. The Site may also contain links to third-party websites, content, or services that are not operated by us.
We are not responsible for the availability, content, terms, or privacy practices of any third-party service or website. Your interactions with third-party services are governed by those parties’ terms and policies.
9. Disclaimers and No Warranty
The Site and all content, free tools, and outputs made available through it are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability.
We do not warrant that the Site will be uninterrupted, error-free, secure, free of malicious code, or that any defects will be corrected.
Nothing in these Terms is intended to limit any consumer rights that cannot be limited under applicable law.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Alora Networks Inc., its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or related to your use of the Site is limited to the greater of: (a) the amounts you have paid us under a separate services agreement in the twelve (12) months preceding the claim; or (b) one hundred Canadian dollars (CAD $100).
These limitations apply to all claims of any kind, whether based in contract, tort (including negligence), statute, or otherwise. They do not limit liability for fraud, fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Alora Networks Inc., its directors, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Site in breach of these Terms or the Acceptable Use Policy.
- Your Submissions, including any claim that a Submission infringed a third-party right or violated applicable law.
- Your use of any free tool output in a manner inconsistent with the disclaimers in Section 4.
12. Suspension and Termination
We may suspend or terminate your access to the Site, in whole or in part, at any time and without notice if we believe in good faith that you have violated these Terms or the Acceptable Use Policy, or if continued access creates risk to us, to other users, or to third parties.
Termination does not limit any other right or remedy available to us.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes we will update the “Last updated” date at the top of the page. Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Site.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without reference to conflict-of-laws principles. The courts located in Ontario, Canada have exclusive jurisdiction to hear and decide any dispute arising out of or related to these Terms or your use of the Site, except that we may seek injunctive or other equitable relief in any jurisdiction where appropriate.
15. Entire Agreement and Severability
These Terms, together with the Privacy Policy and the Acceptable Use Policy, constitute the entire agreement between you and Alora Networks Inc. regarding your use of the Site, and supersede any prior agreements on that subject.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision.
